Warranty:
Products are warranted to be free of defects in material or workmanship for a period of one year from the date of shipment. Should a defect be communicated to Nirotek within such time frame, Nirotek will evaluate and determine the existence of the defect and further decide, at its sole discretion, to either replace the defective product without charge or compensate it with a credit note in such amount as Nirotek deems reasonable. Nirotek shall have no responsibility beyond the replacement value of the defective product nor shall in any way be liable or responsible for consequential or incidental damages. This Warranty is subject to the provisions of the LIMITATION OF LIABILITY Section below.
LIMITATION OF LIABILITY
Any and all statements, technical information and recommendations are based on tests believed to be reliable but do not constitute a guarantee or warranty (other than the explicit warranty stated above under the WARRANTY Section. Any and all products are sold based on the understanding that the purchaser has independently determined the suitability of such products for its purposes. Nirotek does not make, and hereby disclaims, any and all express and/or implied warranties (other than the explicit warranty stated above), including, without limitation, with respect to such products, including, without limitation, warranties of merchantability, fitness for a particular purpose, non-infringement and title. Neither Nirotek nor anyone acting on its behalf will be liable under contract, tort, indemnity, product liability, strict liability or otherwise to a purchaser, or any third party, for any lost profits, lost opportunities or indirect, special, consequential, incidental, punitive or exemplary damages for any reason, even if Nirotek has been notified of the likelihood of such damages. Without derogating from the aforesaid, Nirotek's (and/or of anyone acting on its behalf) total cumulative liability with respect to products sold will not exceed the price actually received by Nirotek from the purchaser for such products, and which are the subject of such claim or action. The limitations of liability and the disclaimers set forth herein form an essential basis of the prices agreed between the parties and shall survive termination of any engagement between them.
